Contracts ? Draft, review and negotiate various agreements signed with Chinese companies or construed under Chinese law, in collaboration with SGSO and SGS teams. ? Assist in the development, review and translation of contract templates on a regular basis. ? Contribute and maintain the contract management system, ensure that contracts are processed and reviewed by the appropriate persons and functions, and maintain contracts files up-to-date.
Corporate ? Manage all corporate work for SGSO (e.g. organization and drafting of meeting minutes of SGSO Board meetings). ? Liaise with filing agent for corporate matters such as board member change, capital increase, company name change. ? Review documents before the application of SGSO company/contract seal (keeper of the seal).
Compliance ? Carry out Business Partner Assessment for Chinese companie as per Group’s methodologys. ? Ensure good corporate governance within SGSO, supporting implementation of Sonepar’s Compliance Program within SGSO, providing ongoing integrity training to employees and assisting in investigation and resolution of any integrity issues that arise. ? Coordinate and implement Personal Data Cross-border Transfer in China, with the help of external law firm.
Intellectual property ? Assist SGS Legal Manager on intellectual property related issues (e.g., trademark, patent registration, etc.), with support from external law firm.
Litigation and insurance ? Assist SGS Legal Manager on any claim, litigation or product quality issues. ? Review supplier insurance certificates as per Group’s guidelines.J
Miscellaneous ? Support SGS Legal Manager and other legal and compliance officers from the Group on legal/compliance matters upon request. ? Manage and liaise with external service providers, including external law firms, and provide legal training and awareness for employees.
PROFILE, SKILLS & EXPERIENCE
The candidate must/should: ? Have a legal degree recognized within mainland China. ? Have minimum 4-5 years post qualification experience, ideally with a major law firm and/or legal/compliance department in a multi-national company in China. ? Have experience working with an international environment. ? Be fluent in English and Chinese (English level must be excellent). ? Have excellent legal knowledge, business understanding and analytical skills for detailed and results-orientated solutions.
