- Support and assist the Company’s management and various departments in proofreading, reviewing, amending, drafting, translating from Chinese into English and/or from English into Chinese, as and when instructed, all type of agreements, formal letters and any other legal documents including, but not limited to: 1) tenancy agreements, leave and license agreements and title deeds; 2) consultancy, training agreements; 3) promotion, marketing, advertising and celebrity cooperation/appearance agreements; 4) franchising agreements and any amendment thereof; 5) logistics, renovation, distribution, sale and purchase agreements; 6) inter-company agreements and documentation; 7) any other commercial agreement, formal letter or other document that needs to be executed by the Company or by its parent company or any of its fellow subsidiaries, affiliates, etc. having a territorial connection or other linkage with the jurisdiction of the People’s Republic of China; - Support and assist the Company’s management and the other relevant departments/functions in negotiating commercial contracts and finalizing the related deals by communicating directly with landlords, suppliers, business partners, third parties, etc., and travel occasionally, as and when instructed; - Ensure the proper filing of any legal document handled and signed by the Company’s management and various departments/functions, update and implement physical archives and soft copies archives in a timely and orderly manner, as and when instructed; - Ensure that the core company’s policies and procedures at both local and global level, as informed/advised by Senior Legal Counsel and/or the headquarter Legal/Compliance team from time to time, are respected/reflected in all signed contracts and corporate documents of the Company; - Prepare recaps, excel files, charts and other summaries of lease agreements, commercial contracts, and/or any other activity of the Company having legal implications whatsoever, as and when instructed; - Liaise with any other department/function of the Company and/or of other companies belonging the “Tod’s Group”, either within the Asia-Pacific region or otherwise, for the collection of relevant information or the discussion of documents’ drafts and legal matters in charge and for the correct and complete discharge of the assigned legal tasks, as instructed by Line Managers and/or the headquarter Legal/Compliance team from time to time; - Liaise with external consultants and/or any third party in order to obtain quotations for legal advices services or any information useful for the activities of the Company having legal implications, as and when instructed; - Liaise with and attend to local municipalities, government bodies, institutions, courts or any third party in order to obtain/exchange information/documents related to the activities of the Company and having legal implications of whatsoever nature, as and when instructed; - Draft, review and/or amend, as and when instructed, resolutions of the board of Directors, power of attorneys and/or other corporate governance documents for the Company and liaise with external counsels as and when instructed; - Support, assist and advise, as and when required by Line Managers and/or by the headquarters legal department based in Italy, on Intellectual Property and other compliance related legal issues; - Conduct researches on local regulations and produce, as requested, translation extracts of relevant articles and/or regulations or brief legal opinions or similar written advices/memo on PRC related legal issues for internal use. Inform/update the Company’s management, as far as of knowledge, on legal developments and new regulations implemented in the People’s Republic of China and relevant to the Company’s activities; draft/modify/prepare the corresponding internal documentation or contracts in accordance with the applicable laws and regulations, and complete the corresponding government registration and/or filing if needed; - Conduct internal training on legal matters or topics of interest and having legal implications for all business operations of the Company; - Perform other administrative tasks strictly related to the role of the legal function within the Company, as and when instructed.
Requirements - P.R.C. qualified lawyer with general corporate and commercial experience; - At least 5 years' experience either in law firm, in-house within multinational companies or equivalent organizations; previous experience in a law firm is preferred; - Previous experience in handling lease agreements and related commercial issues, general commercial work, corporate and commercial transactions, corporate governance documentation, privacy, intellectual property, anti-competition and/or contentious matters will be an added advantage; - Self- motivated, capable of handling matters independently and proactively; - Hardworking, able to work under pressure and with high intrinsic motivation; - Mature, accurate, detail oriented, responsible and reliable, respectful of deadlines and time constraints; - Excellent drafting and communication skills in both English and Chinese and good interpersonal and communication skills are required.
