岗位职责: 一、Legal Affairs 法务 1. Provide daily legal support for company's business and operation(e.g., meeting, on-line or on-site support, participating in the negotiation etc.). Draft, review, amend and translate documents, such as various commercial contracts, POA, declaration, company resolution, etc. 为公司业务及运行提供法务支持(包括开会、在线或到现场的支持、培训、参与谈判等方式);起草、审核、修改或翻译各类文件,如各类业务合同、授权书、声明文件、公司决议等。 2. Handle Company’s litigation or arbitration activities independently or jointly, coordinate with external lawyer if necessary. Communicate and coordinate with relevant administrative authorities if necessary, deal with administrative punishment and/or administrative litigation related work. 独立或共同处理公司的诉讼或仲裁活动,必要时与外部律师沟通协调; 根据需要与行政机关沟通、协调,处理行政处罚、行政诉讼相关的工作。 二、Compliance Affairs 合规 1. Participate in part of compliance matters in coordination with Company’s Compliance Representative. 配合公司合规代表支持亚太合规部门,参与部分合规工作。 2. Monitor laws, regulations, policy and its changes which may impact company business, warn the risk, discuss and analyze the change with Legal Director and colleagues. Review and amend company regulations and bylaws, to insure uniformity with rules of laws and requirement of KION Group. 监控对公司业务可能造成影响的法律、法规和政策及其变化,提出合规与风险警示,与法务总监、公司同事分析讨论。审查和修改法务部发布的制度,确保其符合法律法规及凯傲集团的要求。 三、其他 1. Submit working plan,work report,work summary to the request of Company or Department. File, organize, maintain the working documents and materials. Participate in the training and other activities hold by Company or Department. 按公司或部门的要求完成工作计划、汇报、总结等工作环节,做好工作资料、文件的归档、整理、维护,积极参与公司、部门的培训及其他各项活动。 2. Comprehend, accept and adapt to business operation mode and atmosphere in matrix and Collectivization. Participate in cross Group subsidiary business. 理解、接受、适应矩阵式、集团化的企业运作模式和氛围,参与处理跨公司间的业务。 3. Other tasks assigned by leader or supervisor. 领导或上级交办的其它事务。 任职要求: 1. 本科及以上学历,法律专业; 2. 3~5年及以上工作经验,有律所或企业法务工作经验,制造业从业经验优先; 3. 熟悉合同法、公司法、民法、民事诉讼法等各商事法律; 4. 具备良好的法律文书起草和审查能力,具有较丰富的诉讼代理实践经验; 5. 较强的沟通能力,实务解决问题的能力,团队协作意识强,工作积极主动; 6. CET-6, 英语听说读写熟练,能作为工作语言; 7. 具备法律执业资格证。
