职位描述: 1.负责公司上市的战略发展工作; 2.负责与美国证监会(SEC)及其当地派出机构、其他政府主管部门、证券交易所、中介机构、投资机构等进行沟通协调,就公司的股权结构及运营情况进行务实沟通与答疑; 3.进行投资者关系管理; 4.协助董事会和其他高级管理人员理解公司章程及各项内部控制指引文件,加强上市相关法律法规及规范性文件的培训,完善公司的法人治理机制; 5.负责公司三会(董事会、监事会、股东大会)的会议筹备工作,包括重要文件的起草、整理、审批,以及参与并记录公司经营计划、业务策略、资本运作等方面的会议; 6.负责公司对外信息披露管理事务; 7.负责接待各机构投资者和股东的来访,为投资者和股东提供公司可以对外发布的相关资料,回答投资者和股东的咨询,协调公司与投资者和股东的关系; 8.负责公司市值管理和资本运作,具有财务管理经验,确保上市公司重大交易的合规性。 任职要求: 1.研究生及以上学历,经济、财会、金融类专业; 2.具备财务、管理专业背景,从事上市公司或能源行业工作2年以上经验,英语流利、CPA优先考虑; 3.具有优秀的协调、公关、谈判、执行能力,协调沟通能力强,具备良好的个人素质、职业道德,以及较强的逻辑分析判断、组织管理能力; 4.掌握金融证券、财务、税收、企业管理等方面的知识,具备较强的文字功底,熟悉各类文书公文协作流程及标准。 1.Lead the strategic development efforts for the company's listing. 2.Handle communications and coordination with the SEC, local regulatory branches, other government departments, stock exchanges, intermediary organizations, and investment institutions, providing updates and answering inquiries about the company's equity structure and operational status. 3.Manage investor relations. 4.Assist the board of directors and senior management in understanding the company's bylaws and internal control guideline documents. Enhance training on legal regulations and normative documents related to listing, and improve the establishment of the company's corporate governance mechanism. 5.Responsible for organizing the meetings of the company's three governing bodies (board of directors, supervisory board, shareholders), drafting, organizing, and approving important documents, and participating in and recording meetings on business plans, business strategies, and capital operations. 6.In charge of the company's external information disclosure management. 7. Welcome institutional investors and shareholders, provide them with publicly releasable company information, answer their inquiries, and coordinate the relationship between the company and its investors and shareholders. 8.Oversee the company's market value management and capital operations with financial management experience, ensuring the compliance of significant transactions for the listed company. Requirements: 1.Master’s degree or above in economics, accounting, finance, or related fields. 2.Financial, management background with over 2 years of experience in listed companies or the energy sector, fluent English, CPA preferred. 3.Excellent coordination, public relations, negotiation, and execution abilities, strong communication skills, good personal quality, professional ethics, and strong logical analysis, judgment, and organizational management capabilities. 4.Proficient in financial securities, finance, taxation, corporate management, and other related knowledge, with strong writing skills and familiarity with various official document collaboration processes and standards.
