Job Description: 1. You will be based in ams-OSRAM's Shanghai office, to provide legal support for the business in China primarily, with exposure also to ams-OSRAM’s business within the APAC region.
2. Reporting to the Head of Legal APAC (based in Shanghai), you will provide legal advisory support for Sales & Marketing, Business Units, and manufacturing operations at key production sites in China. Key responsibilities include:

Preparing, reviewing, and advising on a wide range of contracts, including sales agreements, development agreements, software licensing agreements, procurement/supplier contracts, lease agreements, and facilities contracts for factory operations, as well as HR (employment agreements), Finance, IT, and other contracts. Providing advice on general contract/legal issues, including dispute resolution and settlement negotiations.
4. Assisting in mergers and acquisitions (M&A) transactions involving China operations
5. Preparing and filing documentation for corporate changes in China (including Hong Kong & ***) and other APAC jurisdiction as required, including but not limited to director and legal representative updates, business scope modifications, and adjustments to registered capital.
6. Implementing Legal Department’s contracting policies and signature policies, and monitoring the same in the course of regular business.
7. Supporting the Head of Legal APAC with certain general legal duties, including providing regular legal training in China, and updating of latest laws and legislation coming out of China that may impact the business.
8. Supporting certain admin matters of the ams-OSRAM Legal Department where required, and any other tasks relevant to the above job scope as may be assigned to you by Head of Legal APAC from time to time.
Requirements: To excel in this role, you should: 1. Have an L.L.B in Law, or its equivalent from a reputable Chinese Law school; an oversea degree from a recognized foreign law school would be a plus.
2. Have a minimum 8+ years’ PQE (post-qualification experience) in corporate/commercial law, with a strong preference for candidates who have held in-house roles in multinational or regional operations. M&A experience is preferred.
3. Have demonstrated ability to work directly and independently with sales & marketing, members of the business units and other support functions and provide practical and timely legal solutions with minimal supervision.
4. Superior command of English and Chinese (written and spoken), with the ability to draft and negotiate high-stakes agreements independently.
5. Adapt flexibly to evolving work scopes and organizational changes, providing agile legal support to meet dynamic business needs as required.
6. Team player that can function with high degree of independence and pro-active responsibility, and to remain engaged in a high energy and versatile Legal team that supports the entire ams-OSRAM business.
7. Proficiency in Korean or Japanese is not required but would be an advantage.
