Primary Function The Senior Corporate Counsel – China will report directly to the Regional General Counsel for APAC based in the U.S. This position will provide strategic guidance, oversight, and legal expertise across a wide range of areas and functions, ensuring compliance with laws and regulations, managing litigation, negotiating contracts, and mitigating legal risks within China.
Specific Responsibilities Commercial (50% of scope) 61Serves as the primary legal point of contact for local management; coordinates legal support with corporate, regional, and other country resources. 61Provides business leaders with pragmatic day-to-day advice, together with strategic support, minimizing legal risks and liabilities while advancing commercial goals. 61Reviews, drafts, and negotiates a wide array of contracts, to include without limitation, confidentiality agreements, service agreements, distribution agreements, leases, vendor agreements and intercompany agreements. 61Ensures that contracts align with the company’s strategic goals and local legal requirements. 61Participates in due diligence and assorted sale-side/buy-side activities for mergers, acquisitions, and divestitures. 61Closely collaborates with and exchanges appropriate information with other lawyers on the global legal team. Corporate Governance (10% of Scope) 61Supports maintenance of corporate formalities for legal entities domiciled in China. 61Ensures compliance with corporate governance requirements. 61Manages external service providers. Human Resources (HR) Support (10% of Scope) 61Provide HR functional leaders with legal support for various employment activities, including recruitment, disciplinary action, and terminations. 61Review, draft, and update local HR policies and procedures for compliance with local laws and consistency with global HR standards. Compliance/Claims (20% of Scope) 61Monitors and assesses the legal and regulatory landscape affecting the Company’s operations. 61Identifies potential legal risks and provides proactive advice and solutions to mitigate them. 61Supports corporate ethics and compliance team activities, to include participating in investigations. 61Manages claims and litigation involving the Company, including any active litigation. 61Supervises and cost-effectively manages outside counsel. Education & Experience 61Law degree from accredited and recognized university (grades preferably above 75%). 61Must be admitted to the bar (or equivalent) and in good standing in the jurisdiction of practice. Meets local legal license requirements. 61At least 10+ years of relevant post qualification experience combining corporate, commercial, and disputes experience. 61Mastery of legal and relevant business knowledge in multiple practices areas. Broad and deep knowledge of local/regional laws, regulations, policies, and procedures. 61Ability and desire to work collaboratively and autonomously. 61Ability to work well under pressure while continuing to work in an orderly and organized manner. 61Highly self-motivated with a positive and approachable attitude. 61Excellent communication and relationship building skills, both written and oral, with the ability to write concisely with precision and clarity. 61English language skills to business standard required.
