Key Responsibilities: 1. Legal Advisory and Compliance: o Provide legal advice and guidance on a wide range of matters, including regulatory compliance, intellectual property, corporate governance, and employment law. o Ensure the company’s operations comply with PRC laws, regulations, and industry standards, particularly in the pharmaceutical sector. o Monitor and interpret changes in relevant laws and regulations, and advise the company on necessary actions to maintain compliance. o Collaborate with internal stakeholders, including regulatory affairs, commercial, and compliance teams, to address legal risks and provide practical solutions. 2. Contract Management: o Draft, review, and negotiate various types of contracts, including supply agreements, research and development contracts, licensing agreements, and service contracts. o Ensure that all contracts are legally sound and protect the company’s interests, while also facilitating business objectives. 3. Litigation and Dispute Resolution: o Manage and coordinate litigation matters, including representing the company in court or arbitration proceedings when necessary. o Provide support in resolving disputes through negotiation, mediation, or other alternative dispute resolution methods. 4. Intellectual Property: o Advise on intellectual property matters, including patent protection, trademark registration, and copyright issues. o Work closely with the R&D department to ensure proper protection of the company’s intellectual property assets. 5. Corporate Governance: o Assist in corporate governance matters, including board meetings, shareholder meetings, and other corporate formalities. o Ensure that the company’s governance practices are in line with best practices and regulatory requirements. 6. Training and Development: o Conduct legal training sessions for employees to enhance their understanding of legal and compliance issues. o Stay updated on the latest legal developments and trends in the pharmaceutical industry, and share knowledge with the team. Qualifications: 61 Education: Bachelor’s or Master’s degree in Law from a top PRC law school. Overseas education is preferred but not a must. 61 Professional Qualifications: Admitted to the PRC Bar. 61 Experience: At least 5 years of working experience at a leading PRC law firm and/or in the legal department of a pharmaceutical company. Prior experience in the pharmaceutical industry is mandatory. 61 Language Skills: Fluent in both English and Mandarin. English can be used as the working language. 61 Skills and Attributes: o Strong legal expertise and analytical skills. o Excellent communication and negotiation abilities. o Ability to work independently and as part of a team. o High level of integrity and ethical standards. o Familiarity with PRC laws and regulations, particularly those related to the pharmaceutical industry. o Experience in handling complex legal matters and providing practical solutions.
