Responsibilities: 1. Draft, review and negotiate commercial agreements including terms and conditions for the sale of goods and services, services agreements/MSAs, purchase orders and other commercial documents and oversee the same in the regional business units ; 2.Ensure compliance with the company’s third-party policies; 3. Draft, review and negotiate confidentiality/non-disclosure agreements; 4.Assist with analysis and reporting related to environmental, social and corporate governance (ESG) matters ; 5. Assist HR with employment law related matters including policy issues and investigations; 6. Ensure consistency of contract terms with company requirements and business objectives ; 7.Identify legal issues raised by business units and work with business units to ensure compliance with all applicable laws and regulations ; 8. Work with business units/internal clients to address outstanding issues with customers, vendors/suppliers and contractors ; 9. Advise internal clients on the day-to-day interpretation and escalation of contractual provisions; 10. Provide litigation support services including working with outside counsel, managing document production and performing document review; 11. Perform due diligence for potential acquisitions, as requested; 12. Provide support on corporate governance matters; 13. Design and deliver targeted legal training to internal clients .
Requirements: 1. JD from a law school; 2. Professional experience in civil and common law countries; 3. Fluent in English and Chinese; 4. Approximately 7-10 years practicing in a law firm and/or in-house legal department; 5. Must have experience in third party compliance; 6. Experience and working knowledge of contractual terms related to the sale of goods and the provisions of technical services ; 7. Value-added approach to all work; 8. Strong work ethic and ability to manage multiple projects efficiently and effectively; 9. Strong legal research and analytical skills; 10. Ability to function with minimal administrative support including ability to work efficiently in the Microsoft Office suite; 11. Willing and able to travel as needed; 12. Mature judgment and discretion;
Preferred: 1. Employment law experience either entirely in a law firm or in-house, or a combination of law firm and in-house; 2. Working knowledge and experience providing legal advice in connection with manufacturing sale and distribution activities; 3. Working knowledge and experience negotiating non-disclosure/confidentiality agreements with an intellectual property component; 4. Superior negotiation, advocacy and presentation skills .
